Falconhead Capital Forms GPSI Holdings, World's Leading Provider of Cart-Mounted Gps Services to Golf Courses

Three-Way Merger Creates Market Leader With Systems Deployed on Nearly 1,000 Courses; Extensive Synergies Position New Company for Long-Term Success
NEW YORK, Oct 16, 2009 (BUSINESS WIRE) -- --Partners With Greg Norman
Falconhead Capital, LLC, a private equity firm specializing in consumer-focused businesses in the leisure, lifestyle, sport and media categories, today announced the formation of GPSI Holdings, LLC ("GPSI"), the world's leading provider of cart-mounted GPS services to golf courses. GPSI was created through the acquisition of and subsequent three-way merger of GPS Industries, Inc., ProLink Systems, Inc., and a series of assets previously owned by David Chessler, who has been named CEO of GPSI. GPS Industries was acquired through a sale process conducted under Section 363 of the U.S. Bankruptcy Code. Financial terms of the transactions were not disclosed.

Falconhead has immediately established GPSI as the leading player in the golf cart-mounted GPS industry globally, with systems deployed on nearly 1,000 courses predominantly in North America and Europe. Falconhead expects that the acquisition of these businesses at very attractive valuations, and their combination, will result in significant cost, revenue and technological synergies that will position GPSI for significant profitable growth. In particular, GPSI will implement extensive product and service improvements that will benefit customers and enhance the playing experience for players around the world.

Falconhead's partner in GPSI is Greg Norman, the professional golfer and head of Great White Shark Enterprises, a corporation primarily focused on golf. Mr. Norman, a long-time member of Falconhead's advisory board, was involved in conceiving and executing the transactions. He will own a significant equity stake in GPSI and has entered into an agreement to promote the company's business.

As part of GPSI's long-term growth strategy, the Company has established an exclusive partnership with Club Car to leverage its sales force of more than 120 representatives and its extensive global distribution network. Club Car, a member of the Industrial Technologies sector of Ingersoll-Rand plc (NYSE: IR), is a leading manufacturer of golf cars, utility vehicles and a wide range of task-oriented vehicles serving multiple markets.

David S. Moross, chairman and chief executive officer of Falconhead Capital, said: "We are proud to create the leading provider of cart-mounted GPS services to golf courses. The transactions that led to the formation of GPSI Holdings further demonstrate our ability to pursue and complete complex investment opportunities, and the new company is highly complementary to our investment strategy given our long ties to golf, and our expertise in leisure and lifestyle. By bringing together these three businesses, we have created a new company with the financial strength, operational efficiency, technology expertise, business model and geographic reach necessary to succeed over the long term.

"We are fortunate that our friend Greg Norman is our partner in GPSI, given his immense stature in the golf world as a player and businessman. We look forward to working together to further build this powerful platform," Mr. Moross concluded.

Mr. Norman said, "This transaction further promotes the consolidation of the industry which started with GPS Industries' acquisition of UpLink in late 2008 and now includes the merger with ProLink and ProView. This consolidation, together with other strategies, several of which specifically capitalize on the current economic landscape, will position GPSI to realize its full potential. It has been a pleasure to work closely with David and the Falconhead team, and we look forward to a very successful venture."

I want to get a good GPS device. I want lane assist, lane assist street view similiar to navigon, announce streets and bluetooth. Voice commands would be neat but its not a priority. I probably would onl use the device in the states.

I've looked at the Garmin 1370t, 1490t

Magellan 4730 and 4700.

I seem to get a lot more bang for the buck with Magellan, but it always seems Garmin gets ranked higher even though I found the older Garmins had horrible sound and the screens were less vibrant then the Magellans.

What would you recommend?

The newly announced Iphone by Apple has once again created a product that everybody will be craving about. The Iphone 3G speed has many improved features over its predecessor. Having a better 3 megapixel camera which is able to shoot video is one example. But of course looking at other phones like the i8910, the camera is a joke. We have to put in mind that Apple is not really attracting its customers by releasing a new high-end device. Because no matter what the Iphone is not a high-end device. Apple has a way to sell its product in a more hypnotising way. It seems whatever Apple releases must be the best and definitely worth the upgrade. With new improved products coming out every 6 months, Apple has definilty found the way to sell what it wants. Now this is different in other countries like Russia or Japan and even Europe, the phone doesnt sell as much as in the US and even mac computers are not as used over there. Maybe everyone exept America has found that Apple is not the god of gadgets, and that there are better alternatives.

The Iphone though has sold like crazy and the App store is what to thank. Having just delivered 1 Billion downloads from it, it has definitly made the Iphone a popular device. Many companies now are opening up app stores for their platform. Nokia just released its app store called Ovi store which will let Symbian users download apps over the air like the Apple app store. You can even download specific apps based on your location. This is a nice feature but will probably effect only a small amount of apps. And even Ovi has a long way to go to even compete with Apple, but Symbian is the most used mobile platform in the world so they might have a chance to catch up.

The Samsung i8910 runs on Symbian which means that the Ovi store does run on it and you are able to download apps when connected to the internet. Samsung has also built its own app store but there is still some work to be done to make it fully functional (link).

So let’s talk about the differences between the Samsung i8910 and the Iphone 3G S. One is made by Apple and the other by Samsung. Samsung has been making phones a lot longer then Apple and thus has more experience and knowledge with what people want. Apple has to but they are still a little behind.

Spec wise: Here is a comparison.

Conclusion:

As you can see the Iphone still has a long way to start competing with European and Asian phones. The i8910 is better, cheaper at $650 unlocked which means that you can use it with T-Mobile and At&t. The only thing that I prefer over the i8910 is the fact that Iphone has multitouch and the app store. But in almost every other feature, the Samsung Omnia HD takes it away by a mile.

What do you think?

I understand that there might be a new ipod touch 64 gigabyte coming out in September this year. But i'm going to America in august and products over there are a lot cheaper. The ipod touch is said to have a GPS travel system and a camera. But i would never use the GPS and i already have a camera on my phone.

I was wondering how much space the applications on the ipod touch use up because i know i have about 10Gb of music and therefore would have about 20 GB left if i got the 32GB when i am in America. I will be downloading most of the games and apps for the ipod touch so i was wondering if 20GB would be enough, or would i have to wait for the 64GB that might not even come out in September because apple haven't announced anything about a new ipod coming out.

Thank you for your help!

Camera? Voice Control? GPS? Lower prices? What do you think?

And if it comes out in September (which is most likely), will Apple announce it a little before or right when it is released?

It a question in my homework. Here is the article you need to read first and the question is below,

Privacy eroding, bit by byte

Computers, Engineers Find New Ways to Keep Tabs On Us

First there were security cameras, sprouting like mushrooms on street corners and buildings. Then came shopper cards, offering discounts in exchange for details about buying habits.

In recent years, we've seen the emergence of electronic tags or "cookies" on the Internet, software that monitors e-mail, GPS devices that pinpoint our position on the planet, and a growing number of machines that capture fingerprints and face prints.

Now comes the news that federal regulators approved the injection of microchips under the skin, enabling physicians with the right gear to know who someone is without having to ask. And yesterday, the omniscient-seeming search engine Google bested itself by announcing a service to probe for information both online and in your own machine. One company official called it a "photographic memory for your computer."

Google says no personal information will be sent back to the company. But if it feels like you can't do anything these days without someone looking over your shoulder, you're not just paranoid. Cheap computers, blazing fast networks and clever engineers are finding more and more ways to keep tabs on where you go and what you buy, generally with your permission. They're even getting better at guessing what you'll do next.

"It's this whole new world. It's sort of like all these little details about our lives are being recorded," said Richard M. Smith, an Internet security consultant in Boston. "We love the conveniences. We love the services. But people kind of instinctively know there's a dark side to this. They just hope it won't happen to them."

Smaller, Faster and Cheaper

To be sure, companies have long gathered personal and shopping information to better market to customers, often with dubious results. Who hasn't received junk mail or telemarketing calls that seem to have no connection with their lives? But those initiatives are fast improving' and accelerating as people live more of their lives tethered to cell phones, the Internet and the rest of the wired world, where trading off personal information is part of the price of admission.

Think about a typical day. An advertising service is notified when you check the sports scores on the Web. The EZ-Pass transponder signals when you go through a tollbooth. The pharmacy collects personal medication details and sends them along to data companies for analysis. At work, some employees now use face recognition systems to get in to their offices, or they type on machines that trace every keystroke.

"Every move you make is becoming part of your permanent record," said Peter P. Swire, a privacy expert and law professor at Ohio State University. "The trend is smaller, faster, cheaper."

Rapid Accumulation

There's no question the data are accumulating, and faster than many people understand. A few years ago, researchers at the University of California at Berkeley estimated that all the information created by humanity by 1999 would double by about now. One of the leading aggregators of personal information, an Arkansas company called Acxiom Corp., has roughly a million times more information about adult Americans and their families than when it first sold stock two decades ago.

Other commercial information services routinely tout their ability to access some 20 billion records. And that's not counting the digital details that come in the form of photographs, videotapes and sensor readings. Most people know companies can mine credit card data, loan records and other transactions. But few know that companies already offer video-mining services as well. One day we might be able to mine the information generated by radio frequency identification chip implanted in our arms. Or we might just use a Google search service custom-made for RFID, as the chips are known.

Not everybody is vexed by these trends. Homeland security, law enforcement and intelligence officials are rushing to take advantage of this wealth of information to protect the country. Web sites like Amazon.com, cell phone services, catalogue retailers, financial services companies and many others are increasingly adept at using data systems to serve customers. Ask people whether they'd give up those services, and many would offer a resounding "no."

David Brin, an author and futurist, believes that recent technological developments have revolutionized the ability of people to see, through cameras around the globe, and remember details through almost unimaginably rich warehouses of information that serve as proxies for our limited memories.

He predicts that we will one day be able to "know" almost everybody in the world through instant access to personal information in ubiquitous dat

It will be very kind if you give your opinion. If possible then tell the reason why should choose the favorite one you like between those two.Thanks.
I know about N97 but what i am trying to say about a cell phone that will be superior to use between those two.

I am greatly disappointed. I bought the 3G, at launch, for it's GPS ability. At that time, TomTom, along with other companies, announced they would soon be releasing turn-by-turn software for the phone. Well, it's been a year and some stupid developer agreement for the iPhone SDK restricting GPS software. So why have a GPS chip on the iPhone 3G?! Anyways, back to the real question. Will the iPhone 3G ever get turn-by-turn nagivation software? Should I wait it out or just get smart phone with GPS and GPS software that's already available?

I want to get a GPS unit for my mother. It needs to be simple to use, have a big bright display, and most importantly... It needs to announce the names of upcoming streets. I'm not so interested in plotting routes that she'll need to follow. But I really need her to hear the names of upcoming streets. Is there a GPS unit on the market that offers this feature?

My oldest daughter called me a B*tch on mothers day now she is lying to her B/F that I am telling her to write to and call her Ex B/F, My Dad had a stroke last fall and my sister won't let him come see me without mediation, which she knows I can't afford, long story short I had a family she went to college married a women and bought her kids at a sperm bank, which normally I would not give 2 poops about, but she has to sign a paper cause she lost my daughters savings bond and it been months since we asked her about it and know she calmly announces that its been put on the bottom of her to do list, and on top of this last week our cars got broken into and 2 radios and a GPS system were stolen, and I moved 1000 miles away from a high crime area, and my baby girl is getting stressed now too cause she though it was a safe area, I have Asthma which I think my attacks are in my head right now I went to the dr yesterday and my peak flow is 350.But today I am having like a pulsing feeling in my stomach like a baby kicking, it seems to go away when I think about something calm, I think I am going to go crazy, anybody have any good ways to de stress.

Price range under $300
and something that is not too basic but not too high-tech.. in the middle

I want something that has the stuff I need, it'll update every year, voice announces streets and etc etc..

New Year will arrive a second late when time across the globe is adjusted to account for the changes in the Earth's rotation.

A 'leap second' will be added onto the final minute of 2008 because the planet is gradually slowing down as it spins on its axis.

The tweak will help correct the time-lag which shows up on ultra-accurate atomic clocks.

It is the 24th time since 1972 that the adjustment has been made by the Paris based International Earth Rotation and Reference Systems Service at intervals varying from six months to seven years. The last was in 2005.

Historically, time was based on the rotation of the Earth relative to celestial bodies.

Earth's trip around the sun is about 365.2422 days long, which we round down to 365. Every four years, during a leap year, the inaccuracy is corrected by adding a day in February.

Mechanisms such as the Internet-based Network Time Protocol and the satellite-based Global Positioning System (GPS) depend on the accurate time kept by atomic clocks.

That extra second will make 2008 – already long with an extra day on Feb 29 – the longest year since 1992.

The decision to add an extra second was made by an international consortium of timekeepers, whose American arm announced the extension.

World commerce and digital technology depend on accurate to-the-second timekeeping, said Geoff Chester, spokesman for the US Naval Observatory in Washington, responsible for one-third of the world's atomic clocks.

Thank you for your time

I want my carburetor back - no computer generated fuel injection please - no computer chip --- and put the high beams back on the floor where they belong -- and give me a car/truck I can fix myself

OnStar - announces accidents and provides two way communications -

Oh yes it is a wonderful safety measure - but now I have someone who can listen to every last thing I say in my car track me everywhere and turn my car off by throwing a switch in an office somewhere

How long until that is abused ?

2 way security systems for my house ---- where could that lead to ?

A GPS locater in the cell phone -- yep --- no need for comment there is there ?

Now they sell a GPS tracking device for nervous mothers - find your kid - and they advertize that as the greatest thing in the world -
Now I don't want anybody's little bundle of love to go missing - but a whole generation of kids who have always been tracked via satilite ?

Wow --- who is next ? The Alzheimer patients - the prisoners - the mentally ill and then sooner or later everyone - How far could a chip be after a generation of that is so used to it - it becomes normal ?

-------------

A gigabyte ? Standard computer stuff right

A gigabyte (derived from the SI prefix giga- + byte) is a unit of information or computer storage meaning either exactly 1 billion bytes (10003, or 109) or approximately 1.07 billion bytes (10243, or 230)

----------------

Hm---7 billion people - how hard could it be to track all of us with a computer set via a space satellite really ?

First every one gets a cell phone and people now refuse to leave home without it - Now mothers are putting locaters in Jr's pants the car has one - what else has one ?

--------------

Onstar commercials scare the crap out of me -

How about you ?

She went as far as to buy a mini van so it seats her 4 children, my baby and me. She's going to buy another car but she's keeping the mini van so that she can still take us everywhere with her!!!

It all started when my husband and I lived with her last year. She invited us to go to Steve and Barry's with her because it just opened and she didn't know how to get there so my husband drove and got us there in one piece. We since moved out of her place (almost a year ago) and she has invited us to the water park, fair, and aquarium. She has off two weekends per month and in my opinion, she should be using those days to clean the house and get the kids ready for school. Instead, she goes out with her boyfriend Saturday morning, calls us up by 1 pm and invites us somewhere or announces that she's bringing her kids over around dinner time.

I spoke with my husband about these frequent invitations and said that he's going to need to say something before she drives me insane. He said that he's just going to keep telling her we can't go and making excuses. The last place she invited us to is the fair. We didn't have to extra money because my husband's business is slow righ tnow so he told his mom that we're broke and can't go. How embarassing and none of her business! I wish he would just end this now and just tell her we have our own lives and our own family (we have a 10 month old baby!) to attend to.

I don't know if we're "supposed" to go with her out of pitty or if she's trying to manipulate us. She made comments on how we blow our money and how much of a waste it is to buy a GPS for the car. Well, every time she invites us somewhere, she has us bring the GPS because she doesn't 'have one and she has no idea where she's going! So this hypocritical monster in law is on my nerves!!! What to do?
My husband agrees with me and is afraid to stand up to his mother (like most men!)

Thank you

I wanted the Garmin Nuvi 260W but found it was discontinued?? :[ I don't know why though grr

I'm so confused I was 1st looking at the GARMIN NUVI 200W Then the GARMIN NUVI 250W GPS but then finally I think the GARMIN NUVI 260W GPS sounds better since it announces the street names also and not just turn in 500 feet or whatever... But what do you think? if you have one please let me know how it is and if it finds houses easily? Thank you :/

Recently, I started shopping for a new cell phone and decided that the iphone was about the coolest thing since sliced bread. Shortly thereafter however, they announced the new 3G iphone and the plan prices sky rocketed.

Now I'm looking for a phone that rivals the features of the iphone, but is somewhat more reasonable in price. My most valued features are (in order) :
- GPS
- Email
- Full internet
- Texting
- MP3 player

I'm looking for a family talk plan (for two people) for around $100. Any suggestions are greatly appreciated :)

With all the rumors of a 2nd generation iPhone that includes 3G connections and GPS posted on the internet and the fact that Apple is no longer stocking the iPhone in stores, when exactly will Apple official announce the new iPhone. What I mean is, like are there any public Apple events that are about to be given like one of the famous Steve Job's keynotes. I want an iPhone but don't want to get, then a new one come out. Thanks for answering!

to buy for the baby. She lives with her boyfriend, who makes $17 an hour. They drive a brand new car. This is the deal. He says wait and see what everyone buys for them when they have a baby shower. I tell them, don't wait for everyone else, start planning now. He basically expects me and his mother to buy everything they need. thing is, I also have a 7 year old and I'm diabetic, have no health insurance, and even though I'm not broke, I can't afford to supply everything they want. And I have told my daughter time and again to start saving for a crib, car seat, etc. Instead the spend on big TV's and GPS for their car. I have decided I will buy ONE big ticket item, most likely a car seat/ stroller combo. But how do I get through to these kids that I am not going to be responsible for buying stuff and I do not want to be a convienient babysitter? I have a full-time job and 7 year as well. I don't want to make them mad and never see my grandchild.
I offered to pay half for a whole set of good used baby furniture someone was selling in our area for $250, I saw it and it was all great stuff, clean and safe, but they turned their noses up at it, because it "wasn't new".. Like they can afford to be so picky...
I really wish they would save money, she works too, they can do it, I try to tell them, but I really don't want to hear the whining when they get hit with reality after the baby is born... Why won't they listen to me?
Thanks so much everyone, for your opinions. I have a hard time saying "no" when it comes to kids, and animals. As far as money, she always complains they are broke.. and it irritates me.. I know it shouldn't, but she is my daughter and I want what's best..

Do you also experienced any voice distortion/interruption in the middle of announcing the street names or turn event when using the Text to Speech feature?

I am considering upgrading to a Garmen NUVI 260 model as it announces the street names and I feel this is a safety feature that will pay for itself. It cost $100 more than the TomTom XL model I currently have. Is the extra money worht it?

I was driving an isolated mountain road near Zion National Park and my Tom Tom gps told me to make a right turn 100 feet ahead, that would have taken me flying off a killer of a cliff. Thank the lord it was day light. Maybe I could sue them. It was an English lady announcing the driving prompts, maybe she doesn't like Americans.

I understand that they're trying to bring a new sport to the masses. But seriously, some of the announcing yesterday was just stupid.

"The tires don't even have grooves on them."

"They lean the bike because they can't turn upright."

"NASA TECHNOLOGY!!!" about 4 times, for such thrilling stuff as kevlar inserts in armor and carbon disk brakes, which are both old news.

"Motorcycles accelerate quickly because they weigh less than cars."

Is that kind of stuff necessary? How about something about the riders? Tell people Rossi won 5 GPs in a row, or how Hayden and Pedrosa have issues. Something interesting, even to the noobie?

I'm looking at two Garmin models-one announces just the turns ("turn left") while the other will actually say the name of the street ("turn left on Elm street"). The latter model costs about 90-100 dollars more. For anyone who owns one, is the extra money worth it? I've had phones with voice caller ID, and frankly the software sucked- I couldn't understand what it was saying half the time. Is this true with the GPS as well?

My father owns a Garmin c340, we were playing with some of the settings and found that we could enable his device to audibly announce the street names during directions. In other words, while driving, it would say, "Turn left on Williams Street" instead of simply saying, "Turn left". I was so impressed, I purchased a c530 because it offered more features. However, I can't seem to get it to announce street names and can't remember what we enabled on my fathers unit in the settings. I'm sure it's possible, but I just can't figure it out. I've updated the operating system and software from the Garmin webupdater, but was wondering if there was something else I need to download. Please help.
